How to Register a Company in Bangladesh

Registering a company in Bangladesh starts with securing name clearance through the Registrar of Joint Stock Companies and Firms (RJSC), which typically takes about a day and holds your chosen name for 30 to 180 days depending on the application. From there, you draft your Memorandum and Articles of Association, defining what your company does and how it's governed, open a temporary bank account to deposit paid-up capital, and submit the full application package to RJSC along with Form IX, Form XII, and your signed founding documents.

Once RJSC reviews and approves the filing, usually within a week to ten days for a straightforward application, you receive your Certificate of Incorporation. That's the point most people assume registration is finished, but it's really the halfway mark. To actually operate, you still need a Trade License from your local city corporation or union parishad, a TIN from the National Board of Revenue, and in most cases a BIN for VAT registration. Skip any of these and you technically can't issue a valid invoice, even with an incorporation certificate in hand.

The most common delays we see aren't with RJSC itself. They come from documentation errors: mismatched details between the MoA/AoA and the application, name choices that get rejected for resembling an existing entity, or founders discovering late that their registered address doesn't meet the physical office requirement. Getting these right the first time is usually the difference between a two-week registration and a six-week one.
